These terms govern the use of our website and the general basis on which S Prestige International quotes and contracts. Specific signed contracts, once concluded, prevail over these general terms.
Quotations and pricing
Unless expressly marked as firm, quotations are indicative and subject to reconfirmation of price, availability and shipment window at the time of order. Firm quotations state their validity period; within that period, the quoted price is binding on us.
Prices exclude duties, taxes and destination charges unless the stated Incoterm provides otherwise.
Orders and confirmation
An order becomes binding when we issue a written sales confirmation or a signed contract, whichever occurs first. The confirmation records the commodity, specification, quantity and tolerance, price, Incoterm, shipment window, payment terms and documents.
In the event of conflict, the signed contract prevails over these general terms.
Incoterms and delivery
All deliveries are made under Incoterms 2020 as stated in the confirmation. Risk and cost transfer at the point the chosen term defines, and shipment windows are estimates given in good faith on carrier schedules.
We will notify you without delay of any material change to the expected shipment or arrival dates.
Payment
Payment terms are those stated in the confirmation — typically an advance with the balance against documents, or an irrevocable sight letter of credit from an acceptable bank. Late payment may attract interest and the suspension of deliveries under open contracts.
Goods remain our property until payment is received in full, to the extent the applicable law permits.
Inspection and quality claims
Quality and quantity are determined at origin by the certificates and, where contracted, the independent inspection stated in the confirmation. Claims must be notified in writing within the period the contract states, supported by evidence and by retained samples or surveyor reports where applicable.
Where a claim is substantiated, our responsibility is limited to replacement of the affected goods or an equitable price adjustment, as agreed.
Force majeure
Neither party is liable for failure or delay caused by events beyond its reasonable control, including natural catastrophe, war, sanctions, port closures, strikes, epidemics or acts of government. The affected party must notify the other promptly and use reasonable efforts to mitigate.
If the event continues beyond the period stated in the contract, either party may cancel the affected deliveries without liability.
Limitation of liability
To the fullest extent the law allows, our liability under any order is limited to the contract value of the affected goods, and neither party is liable to the other for indirect or consequential loss, including loss of profit or production.
Nothing in these terms excludes liability that cannot lawfully be excluded.
Governing law and contact
These terms, and every contract that incorporates them, are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, and disputes fall to the courts or arbitral forum named in the contract.
